On October 14, 2025, our Lucena Team participated in a re-echo session on “SEC Reportorial Requirements, Compliance and Filing Updates for Stock and Non-Stock Corporations”, led by Ms. Alyssa Tagle, CPA.
What the Session Covered
The session provided a comprehensive review of the latest SEC compliance framework under the Revised Corporation Code and recent Memorandum Circulars. Discussions included:
The role of the SEC as the country’s registrar and regulator of corporations, with oversight of more than half a million registered entities.
Core reportorial requirements such as the General Information Sheet (GIS) and Annual Financial Statements (AFS), including submission schedules and thresholds.
Expanded obligations for corporations vested with public interest, such as disclosure of directors’ compensation and performance evaluations.
Beneficial ownership disclosure, which requires corporations to identify individuals who ultimately control or own shares, and the consequences of false or incomplete declarations.
The shift to E-FAST (Electronic Filing and Submission Tool), streamlining filing but also requiring strict adherence to formatting and deadlines.
Penalties for non-compliance, ranging from monetary fines to delinquent status, and in severe cases, revocation of incorporation.
